Terms and Conditions

Eligibility Requirements

You must be at least 18 years old and legally capable in your jurisdiction to enter into binding contracts. If registering on behalf of a business, you confirm that you are authorized to bind the business to these Terms.

Account Creation

To use certain features, you must register and create an Account. You must provide accurate, complete and up-to-date information, and keep your Account credentials secure. You are responsible for all activity under your Account.

KYC and Verification

Sunrise may require KYC information and supporting documentation to verify your identity or business. You authorize Sunrise to perform identity checks and to retain verification records for compliance purposes.

Service Provisioning

Sunrise provides online marketplace, listing, discovery, transaction facilitation, rewards/points, and business dashboard services. We will use reasonable commercial efforts to maintain service availability.

Prohibited Activities

• • Unlawful activities or fraud
• • Sending spam or unauthorized communications
• • Unauthorized access to systems
• • Uploading malware or malicious code
• • Attempting to reverse-engineer the Service
• • Using the Service in ways that harm Sunrise or other users

Accurate Listings

Merchants must ensure that all product and service listings are accurate, lawful and not misleading. Compliance with consumer protection, trade, health & safety, and tax laws is required.

Fulfilment Responsibility

Merchants are solely responsible for order fulfilment, delivery, returns, warranties and after-sales support, unless otherwise agreed in writing.

Performance Standards

Sunrise may monitor merchant performance metrics and impose sanctions (warnings, suspension, termination) for poor performance, fraudulent activity or violations of these Terms.

Payment Processing

Sunrise may use third-party payment processors. Users agree to the terms of applicable payment processors. Sunrise is not liable for delays or failures caused by payment partners beyond reasonable control.

Refunds

Refunds are governed by Sunrise's refund policy and merchant-specific terms. Sunrise may chargeback or withhold funds to address fraud, merchant non-performance, or legal obligations.

Sunrise IP

Sunrise and its licensors retain all rights in the Service, its design, software, trademarks, logos, and content. No right or license is granted except for limited use in accordance with these Terms.

User Content License

By submitting Content, you grant Sunrise a worldwide, royalty-free, transferable, non-exclusive licence to use, reproduce, adapt, publish, and display such Content as necessary to operate and promote the Service.

Liability Cap

To the maximum extent permitted by law, Sunrise's total cumulative liability will not exceed the total Fees paid by the User to Sunrise in the twelve (12) months preceding the event giving rise to the claim.

Exclusions

Nothing in these Terms limits liability for fraud, wilful misconduct, or death or personal injury caused by negligence.

Sunrise may suspend access to your Account if you breach these Terms, fail to pay Fees, or engage in conduct that may harm Sunrise or other Users.

Termination

Sunrise may terminate your Account with notice if you materially breach these Terms or for inactivity exceeding twelve (12) months. Users may close their Account at any time through the platform or by contacting support.

Post-Termination

Upon termination, all outstanding Fees become immediately payable, and your right to use the Service ceases. Certain obligations (confidentiality, intellectual property, limitation of liability) survive termination.

Informal Resolution

Parties shall first attempt to resolve disputes amicably through written communication within thirty (30) days.

Arbitration

If unresolved, disputes shall be referred to arbitration under the Arbitration Act of Eswatini, conducted in Mbabane in English, with a single arbitrator. The arbitrator's decision shall be final and binding.

Governing Law

These Terms are governed by and construed in accordance with the laws of the Kingdom of Eswatini.
